Terms of Service

These terms cover your account, the credit you buy, and what you may and may not do with the models we route to. They are written to be read, not to be survived.

1.Who we are and what this covers

Tokenify is operated by Graviti Technologies Inc. ("Tokenify", "we", "us"). These terms govern your use of the Tokenify website, dashboard and API (together, the "Service").

By creating an account or sending a request to our API you agree to these terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.

We may update these terms. If a change materially reduces your rights we will email the address on your account at least 14 days before it takes effect, and continuing to use the Service after that date means you accept it.

2.What the Service is

Tokenify routes your API requests to third-party providers of large language models ("Suppliers") and bills you for the tokens those requests consume. We are a reseller and a routing layer. We do not train, host or own the models you are calling.

Model availability, behaviour, quality and latency are determined by the Suppliers. A model may change, degrade or be withdrawn by its Supplier with little or no notice, and we will not always know in advance.

Where a model is offered under a name that includes a third party's trademark, that name identifies whose model it is. It does not imply that party endorses, sponsors or is affiliated with Tokenify.

3.Your account

You must be at least 18 and legally able to enter a contract. You are responsible for everything done through your account, including by anyone you give access to.

API keys are credentials. Keep them secret, do not embed them in client-side code or public repositories, and rotate them if you suspect exposure. You can revoke a key from the dashboard at any time, and it stops working within seconds.

Usage incurred through your keys is your responsibility, including usage by someone who obtained a key because it was not kept secret.

Tell us promptly at the support address below if you believe your account has been accessed without your permission.

4.Credit, payment and refunds

The Service is prepaid. You buy credit, and requests draw against it per token at the prices published on the pricing page at the time of the request.

Prices can change. A change applies to requests made after it takes effect and never retroactively to credit already spent.

Credit is denominated in US dollars, has no cash value, does not accrue interest, and is usable only on the Service.

Unused credit is refundable on request within 12 months of purchase, less any promotional or bonus credit that was granted rather than paid for, and less amounts already consumed. Request a refund at the support address below.

We may refuse or reverse a top-up we reasonably believe to be fraudulent, and we may deduct credit granted in connection with a payment that is later charged back.

Taxes are your responsibility unless we are required to collect them, in which case they will be shown at checkout.

5.Metering and billing accuracy

We bill on the token counts reported by the Supplier that served your request. These are the same counts the Supplier bills us on.

Where a Supplier does not report usage for a request — for example if it fails part-way, or your client disconnects before the final usage message — we estimate the tokens consumed. Requests billed on an estimate are flagged as such in your usage breakdown.

If you believe a charge is wrong, raise it within 60 days and we will investigate using our per-request records. Where we find we have overcharged you, we will credit the difference.

Your dashboard shows per-request and per-model detail for 90 days. Export anything you need to keep beyond that.

6.Acceptable use

You may not use the Service to:

  • break the law, or help anyone else do so;
  • generate child sexual abuse material, or any content that sexualises a minor;
  • create or distribute malware, or develop tools whose purpose is to gain unauthorised access to systems;
  • harass, threaten, defame or impersonate a real person, or generate material presented as genuine when it is not;
  • produce content designed to deceive people about an election, a public health matter, or a financial product;
  • resell raw access in a way that circumvents your own users' obligations under these terms;
  • attempt to extract model weights, reverse-engineer a Supplier's system, or evade rate limits or credit checks;
  • submit personal data you have no lawful basis to process.

Each Supplier has its own usage policy, and your requests are subject to it as well as to this one. A Supplier may refuse or block content independently of us.

We may suspend an account that we reasonably believe is breaching this section. Where the breach is not severe we will try to reach you first; where it is, we may act immediately. Credit on a suspended account remains refundable unless the breach involved fraud.

7.Your content

You keep all rights in what you send us and in what the models return to you, to the extent such output is capable of being owned.

You grant us the limited right to transmit your requests to the Supplier that serves them, which is the only way the Service can work.

We do not train models on your prompts or completions, and we do not sell them.

Model output can be wrong, biased or fabricated. It is not professional advice. Check it before relying on it, and do not use it as the sole basis for a decision with legal, medical, financial or safety consequences.

The same or similar output may be generated for other customers. We make no claim that output is unique to you.

8.Availability

We aim for high availability and route around Suppliers that are failing, but the Service is provided without an uptime guarantee unless we have agreed one with you in writing.

We may perform maintenance, and will try to schedule anything disruptive outside peak hours.

If a Supplier outage prevents us serving a model, requests to it will fail. Failed requests are not billed.

9.Suspension and termination

You may stop using the Service and close your account at any time. Remaining credit is refundable as described above.

We may suspend or close an account for a breach of these terms, for non-payment, or where we are required to by law.

On closure your API keys stop working immediately. We retain records we are required to keep, including billing records, for as long as the law requires.

10.Disclaimers and liability

To the fullest extent the law allows, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

We are not liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, data or goodwill.

Our total liability arising out of or relating to the Service is limited to the greater of the amount you paid us in the three months before the event giving rise to the claim, or US $100.

Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.

You will indemnify us against claims arising from your use of the Service in breach of these terms.

11.Governing law and disputes

These terms are governed by the laws of the State of Delaware, and the courts of that jurisdiction have exclusive jurisdiction over any dispute.

Before starting proceedings, please contact us — most problems are faster to fix directly.
